Dyadic International, Inc. Announces Results of Annual Meeting of Stockholders Held on June 20, 2008

Dyadic International, Inc. (the "Company") announced that its Annual Meeting of Stockholders (the "Annual Meeting") was held today, at which meeting the Company's stockholders of record as of April 23, 2008, the record date for the meeting, voted on: (1) the election of one Class III director for a two-year term ending at the Company's annual stockholders meeting in 2010, and (2) the election of two Class I directors each for a three-year term ending at the Company's annual stockholder meeting in 2011. As previously announced, the Annual Meeting was noticed and held pursuant to an order of the Court of Chancery of the State of Delaware entered on April 15, 2008.
At the Annual Meeting, The Mark A. Emalfarb Trust U/A/D October 1, 1987 (the "Emalfarb Trust"), a stockholder of the Company that had previously filed a notice of intent to nominate directors, nominated Mark A. Emalfarb for election as the Class III director and Seth J. Herbst and Robert D. Burke for election as the Class I directors. Neither the Company's Board of Directors (the "Board") (or the Executive Committee of the Board) nor any other stockholder of the Company nominated director candidates for election at the Annual Meeting.
As a result of the votes properly cast by the Company's stockholders at the Annual Meeting, all director candidates nominated by the Emalfarb Trust for election as Class III and Class I directors were duly elected to the Board. Accordingly, and given the previously announced resignation of Harry Z. Rosengart, the Board now consists of Mark A. Emalfarb, as a Class III director, Seth J. Herbst and Robert D. Burke, as Class I directors, and Stephen J. Warner, as a Class II director.
